Terms of Service

Welcome to Bookle. These Terms of Service ("Terms") govern your access to and use of the Bookle platform at gobookle.com (the "Service"), operated by Bookle ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

Bookle is a technology platform that facilitates the scheduling of paid meetings between sales professionals, recruiters, consultants, and other outbound professionals ("Senders") and their meeting prospects ("Recipients"). Senders can attach a cash or charitable incentive to meeting invitations, which is released to the Recipient upon verified meeting attendance.

Bookle is a technology platform that connects parties. We are not a party to any meetings arranged through the Service and do not guarantee the quality, outcome, or productivity of any meeting.

2. Eligibility

You must be at least 18 years old to use Bookle. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

3. Payments & Financial Terms

Important: Bookle is not a bank, financial institution, escrow agent, or money transmitter. All payment processing services are provided by Stripe, Inc. ("Stripe") and are subject to the Stripe Connected Account Agreement and Stripe Terms of Service (collectively, the "Stripe Services Agreement"). By using the payment features of Bookle, you agree to be bound by the Stripe Services Agreement, as may be modified by Stripe from time to time.

Bookle does not hold, custody, or control any funds. When a payment is made through the Service, funds are collected and held by Stripe, and disbursed by Stripe to the applicable recipient upon confirmation of meeting completion. Bookle's role is limited to providing instructions to Stripe regarding the timing and amount of fund disbursements based on meeting verification status. At no time does Bookle take possession of, or exercise control over, user funds.

Account Balances

Account balances displayed on Bookle represent funds held by Stripe on your behalf. Balances are not bank deposits, are not insured by the FDIC or any government agency, and do not earn interest. Funds may be withdrawn according to Stripe's standard payout schedule.

Fees

Bookle charges a 10% platform fee on successful meetings, plus standard Stripe payment processing fees (approximately 2.9% + $0.30 per transaction). If a meeting does not occur, the full incentive amount is refunded to the Sender.

Refunds & Cancellations

If a scheduled meeting does not take place (due to no-show, cancellation, or other reasons), the incentive funds are automatically refunded to the Sender via Stripe. Bookle is not responsible for disputes between Senders and Recipients regarding meeting outcomes.

4. Meeting Incentive Payments

Bookle facilitates incentive payments to encourage meeting attendance. Payment is contingent on verified meeting attendance (see Section 7). Bookle acts as a facilitator, not a guarantor — there is no guarantee that Recipients will attend meetings or that meetings will be productive.

Users are independent parties and are not employees, agents, or contractors of Bookle. Bookle does not control the content, timing, or manner of any meeting.

Restricted Uses

You may not use Bookle to offer meeting incentives to government officials, healthcare professionals where anti-kickback laws apply, or in any context where such payments would violate applicable law (including the Foreign Corrupt Practices Act or similar legislation).

5. Charitable Donations

Where a meeting Recipient elects to receive a charitable donation in lieu of a personal payment, Bookle facilitates the donation to the selected charitable organization on behalf of the funding party.

Bookle is not a charity, charitable organization, or charitable solicitor. Bookle does not guarantee the tax-deductibility of any donation. Users should consult their own tax advisors regarding the tax treatment of payments made through the Service. Bookle does not issue tax receipts for charitable donations — the recipient charity is responsible for providing any applicable tax documentation.

6. Tax Obligations

Users who receive payments through Bookle are responsible for reporting that income to relevant tax authorities. Bookle and/or Stripe may be required to file IRS Form 1099-K for users meeting applicable thresholds.

Users are independent parties, not employees of Bookle. Bookle does not provide tax advice. You are solely responsible for determining and fulfilling your tax reporting obligations.

7. Meeting Recording & Consent

Meetings scheduled through Bookle may be recorded using automated technology (provided by Recall.ai) for the sole purpose of verifying meeting attendance. By scheduling or accepting a meeting through Bookle, all participants acknowledge and consent to the recording of the meeting.

A recording notification will be provided at the beginning of each recorded meeting. If any participant does not consent to recording, they should leave the meeting immediately. In such cases, attendance may not be verified and payment incentives may not be disbursed.

Users who do not consent to recording may not use the incentive payment feature. Meeting recordings are retained for 30 days and then automatically deleted.

Important: Recording laws vary by jurisdiction. You are responsible for ensuring that your participation in recorded meetings complies with all applicable recording consent laws in your jurisdiction.

8. Google Calendar Integration

By connecting your Google account to Bookle, you authorize Bookle to access your Google Calendar to read availability, create meeting events, update or delete events, and generate Google Meet links for scheduled meetings.

You may revoke access at any time through your Bookle settings or Google's Security Settings. Revoking calendar access may limit your ability to use scheduling features.

Your use of Google Calendar through Bookle is also subject to Google's Terms of Service.

9. AI Features

Bookle uses OpenAI to power AI chat features. AI-generated responses are for informational purposes only and do not constitute professional, legal, financial, or tax advice. Bookle does not guarantee the accuracy, completeness, or reliability of AI-generated content.

10. Acceptable Use

You agree not to:

  • Conduct fraudulent meetings or fake attendance to game the payment system
  • Abuse, manipulate, or exploit the payment or incentive system
  • Harass, threaten, or abuse other users during meetings
  • Use the Service for any unlawful purpose
  • Attempt to reverse-engineer, copy, or interfere with the Service
  • Create multiple accounts to circumvent restrictions or abuse incentives

Bookle reserves the right to suspend or terminate accounts that violate these terms, with or without notice.

11. Intellectual Property

The Bookle platform, including its design, code, branding, and content, is owned by Bookle and protected by intellectual property laws. You retain ownership of any content you create or upload through the Service. By using the Service, you grant Bookle a limited, non-exclusive license to use your content as necessary to operate and provide the Service.

12. Limitation of Liability

To the maximum extent permitted by law, Bookle shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, arising from your use of the Service.

Bookle is not responsible for the quality, outcome, or content of any meeting arranged through the Service. Bookle is not responsible for disputes between Senders and Recipients. Our total aggregate liability to you for any claims arising from these Terms or your use of the Service shall not exceed the total fees you paid to Bookle in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Bookle, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any applicable law — including but not limited to recording consent violations, payment disputes, and meeting conduct.

14. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Bookle does not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.

15. Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

16. Termination

Either party may terminate this agreement at any time. You may close your account through your account settings or by contacting us. Bookle may suspend or terminate your access to the Service for any reason, including violation of these Terms.

Upon termination, any pending meeting incentives will be handled as follows: funds for completed but unpaid meetings will still be disbursed; funds for upcoming meetings will be refunded to the Sender. Data retention after termination is governed by our Privacy Policy.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes.
